Board Roles and Responsibilities

Introduction

The following pages outline the Board roles and responsibilities, summarized via the Bylaws and other documents.

Board of Directors

President: The President shall preside at all meetings of the Congress and of the Board of Directors, and shall act as Chair of the Board. The President shall be the chief executive officer of the Association. The Board of Directors may authorize the President to enter into or execute and deliver any instrument in the name of and on behalf of the Association. Such authority may be general or confined to specific instances.

Secretary: The Secretary shall have the duty to see that all notices are duly given in accordance with the provisions of these Bylaws or as required by law, shall keep the minutes of the meetings of the Board of Directors and the Congress in a book or books provided for such purposes, and shall maintain a file of such other books and papers of Association as the Board of Directors may direct. The Secretary shall prepare, under the direction of the Board of Directors, periodic reports as may be required under applicable law.

Treasurer: The Treasurer shall act as the treasurer and controller of the Association. The Treasurer shall have the care and custody of all the funds and securities of the Association and shall deposit all such funds in the name of Association in such bank or trust company as the Board of Directors may elect. They shall keep an account of all monies received and expended for use of the Association, and shall sign all checks, drafts, notes and orders for the payment of money authorized by the Board of Directors. The Board of Directors may, in its sole discretion, authorize the Treasurer to make such payments as may be customary and normal in the ordinary course of business. The Treasurer shall maintain an up-to-date list of Members in Good Standing, shall present a report on the financial affairs of the Association to the Annual Meeting and the Board of Directors, shall be responsible for the filing of all tax returns (if any) as may be required from time to time and shall prepare a report to the Members to be distributed by electronic mail and posted on the website each year.

Director at Large: The Director at Large serves in a support role to the rest of the Board of Directors. They can serve on committees and commissions and help out in any capacity that the rest of the Officers deem necessary.
